1. Introduction: Welcome to www.kvd-systems.com (the “Website”). The Website is operated by KVD Systems Ltd. (“Seller”), a company registered at 12 Bratya Miladinovi Street, 1000 Sofia, Bulgaria. By accessing or using the Website, you agree to comply with and be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, please refrain from using the Website.

2. Scope of Services: Seller specializes in the wholesale distribution of electrical and automation products. Services are directed primarily at businesses (B2B) but may also be available to individual Buyers. The products and services offered on the Website are subject to availability and may be modified or discontinued at Seller’s discretion.

3. Eligibility: By accessing the Website, you confirm and warrant that you are:

• At least 18 years old;
• Legally capable of entering into binding contracts;
• Using the Website for lawful purposes only.

4. Registration and Account:

4.1. Buyers may need to create an account to place an order. It is the responsibility of the Buyer to maintain the confidentiality of account credentials.

4.2. Buyers must provide accurate and complete information during registration and update such information as necessary.

4.3. Seller reserves the right to suspend or terminate accounts in cases of fraudulent or unauthorized activities.

5. Orders:

5.1 Placing an Order:

• Orders may be placed through the Website by registered or non-registered Buyers.
• By placing an order, the Buyer represents and warrants that all information provided is accurate and that they are authorized to make the purchase.
• For companies, VAT information will be verified. If validated, VAT will not be included in the final order amount.

5.2 Order Confirmation:

• All orders are subject to acceptance at Seller’s sole discretion. A binding contract is formed only upon confirmation by Seller.
• Seller reserves the right to reject orders without providing a reason.

5.3 Pricing and Availability:

• Prices are listed in EUR unless specified otherwise.
• Prices exclude VAT, shipping fees, and are based on ex works (EXW) Sofia, Bulgaria, unless stated otherwise.
• Product availability and pricing are subject to change without notice.

6. Payment:

6.1 Payment Methods:

• Seller accepts payments in advance via bank transfer, credit or debit card, or PayPal.
• Payments must be completed prior to order confirmation and processing.
• In exceptional cases, if Seller cannot fulfill the order after payment is received, a full refund will be issued promptly to the Buyer.

7. Shipping and Delivery:

7.1 General Policy:

• Shipping Region: Seller ships exclusively to EU countries.
• Delivery Times: Delivery times are estimates and may vary depending on the product and destination.
• Order Cancellation: Order cancellations due to delays in delivery times are not accepted.

7.2 Shipping Options:

• Available Options: Shipping options will be presented at checkout. Buyers may select their preferred method.
• Shipping Costs: Shipping costs, when calculable, will be included in the order amount. In rare cases, costs will be provided post-order confirmation before payment is made.

7.3 Buyer-Organized Shipping:

• Buyer Responsibility: Seller will provide details such as weights, dimensions, and the collection address for the Buyer to arrange collection.
• Notification: Readiness for dispatch will be communicated via email. Follow-up via other means is optional and at Seller’s
• Storage Fee: If collection is not completed within 30 days of notification, storage fees of 0.5% per day of the total order value will apply.

7.4 Seller-Organized Shipping:

• Insurance: Shipments organized by Seller are insured to the invoice value. Claims for lost packages will be reimbursed after settlement with the insurer.
• Accurate Information: Buyers are responsible for ensuring accurate shipping details. Additional costs from incorrect information will be borne by the Buyer.

7.5 Risk and Ownership:

• Risk Transfer: Risk transfers to the Buyer upon shipment.
• Ownership Transfer: Ownership transfers upon receipt of full payment.

8. Returns and Refunds:

8.1 Eligibility:

• Products are intended for businesses and professionals. All private Buyers are considered professionals for these purposes.
• Returns are accepted only for defective or incorrectly supplied products.
• In exceptional cases, non-defective returns may be accepted at Seller’s discretion, subject to a 20% restocking fee.
• Return requests must be submitted within 7 days of receipt.

9. Warranty:

• Warranty repairs are handled by the manufacturer under their terms. Buyers must contact the manufacturer’s service center or authorized service providers for claims.
• Warranty details are available on the manufacturer’s website or in the product documentation provided.

10. Limitation of Liability: To the maximum extent permitted by law, Seller is not liable for indirect, incidental, or consequential damages arising from Website use or purchased products.

11. Intellectual Property: All content on the Website, including text, images, and trademarks, is owned by Seller or licensors. Unauthorized use is prohibited.

12. Privacy Policy: Use of the Website is governed by the Privacy Policy, which details data collection, usage, and protection.

13. Governing Law: These Terms are governed by Bulgarian law. Disputes shall be resolved in the courts of Sofia, Bulgaria.
